Terms of Service

"Service" means the SEO Agent web application, APIs, reports, and all related tools operated by PiTech Studio, accessible at the domain where this platform is hosted.

"User", "you", or "your" means any individual or legal entity that accesses or uses the Service.

"Account" means a registered user account created on the Service.

"Subscription" means a paid or free tier plan granting access to specified Service features.

"Content" means any data, text, reports, analyses, suggestions, or outputs generated by or submitted to the Service.

"AI-Generated Content" means any output produced using artificial intelligence, including SEO fix recommendations, content optimization suggestions, and audit summaries.

"Third-Party Sites" means external websites, domains, and URLs submitted by users for audit or competitor analysis.

2.1 You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Service.

2.2 You must provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials.

2.3 You may not create more than one account per person or entity, or create an account on behalf of another person without their explicit consent.

2.4 You are solely responsible for all activity that occurs under your account, whether or not authorised by you. Notify us immediately at security@pitech.com.np if you suspect unauthorised access.

2.5 Business users: If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3.1 SEO Agent provides automated website auditing, analysis, and AI-assisted optimisation recommendations across SEO (Search Engine Optimisation), AEO (Answer Engine Optimisation), GEO (Generative Engine Optimisation), and LLM SEO (Large Language Model visibility) domains.

3.2 You may use the Service solely for:

• Auditing websites you own, control, or have explicit written permission to audit.
• Analysing publicly accessible competitor websites for lawful competitive intelligence purposes.
• Generating reports and recommendations for your own or your clients' websites.
• Internal business purposes consistent with these Terms.

3.3 Domain ownership verification: On Free and Standard plans, you are required to verify domain ownership before auditing. On Pro and Agency plans, competitor audits of unverified domains are permitted for competitive analysis purposes only.

3.4 Agency plan users may use the Service to provide services to their own clients. Resale, white-labelling, or sub-licensing of the Service to third parties without our express written consent is prohibited.

You must not use the Service to:

• Violate any applicable law, regulation, or treaty — including Nepal's Electronic Transactions Act 2063, Individual Privacy Act 2075, and Computer Crime laws.
• Audit, crawl, or scrape any website in a manner that violates that website's terms of service or constitutes unauthorised access under applicable computer fraud and abuse laws.
• Overwhelm, attack, or degrade any third-party website or server by submitting it for repeated or high-frequency audits.
• Attempt to gain unauthorised access to the Service, its servers, databases, or connected systems.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use the Service to collect personal data from third-party websites without lawful basis.
• Transmit malware, viruses, or any harmful code through the Service.
• Circumvent, disable, or otherwise interfere with security-related features or quota enforcement mechanisms.
• Use automated scripts, bots, or scrapers to access the Service's API beyond your authorised subscription limits.
• Impersonate any person or entity, or falsely represent your affiliation.
• Use the Service for any purpose that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Harvest, collect, or compile personal data of other users of the Service.
• Resell or commercially exploit Service outputs without our prior written consent.

5.1 Plans and Features: The Service is offered under tiered subscription plans (Free, Standard, Pro, and Agency). Features, audit quotas, and limitations for each plan are described on the Pricing page and may be updated from time to time with notice.

5.2 Billing Cycle: Paid subscriptions are billed on a monthly cycle from the date of subscription commencement.

5.3 International Payments: Users paying internationally are billed in USD via Stripe. You authorise us to charge your nominated payment method on each billing date.

5.4 Nepal Payments: Users in Nepal may pay in NPR via eSewa, Khalti, FonePay, or ConnectIPS as available. Nepal Rastra Bank-regulated payment processors handle all NPR transactions. By using these services, you agree to their respective terms.

5.5 Free Trial: Eligible users may activate a 15-day Pro plan trial. The trial is provided once per account, is non-transferable, and automatically converts to the Free plan upon expiry unless you upgrade before the trial ends.

5.6 Refunds: Payments are generally non-refundable except where required by applicable law (including Nepal's Consumer Protection Act 2075). Refund requests on grounds of service failure or billing error should be submitted to billing@pitech.com.np within 7 days of the charge.

5.7 Price Changes: We reserve the right to change subscription prices. Existing subscribers will be given at least 30 days' written notice before any price increase takes effect.

5.8 Taxes: Quoted prices are exclusive of applicable taxes. Nepal-based users are subject to Value Added Tax (VAT) as applicable under the VAT Act 2052. You are responsible for all taxes applicable in your jurisdiction.

5.9 Quota Enforcement: Audit quotas are enforced on a per-calendar-month basis. Unused audits do not roll over to the following month. We reserve the right to temporarily suspend service if usage significantly exceeds plan limits.

6.1 Our Property: The Service, its software, AI models (subject to third-party API providers' terms), trademarks, logos, interface design, documentation, and all related intellectual property are owned by or licensed to PiTech Studio. Nothing in these Terms grants you any ownership interest in the Service.

6.2 Your Content: You retain ownership of any website URLs, content, and data you submit to the Service. By submitting content, you grant us a limited, worldwide, royalty-free licence to process, analyse, and store it solely to deliver the Service.

6.3 AI-Generated Reports: Reports, audits, and AI-generated recommendations produced by the Service are provided under a limited personal use licence. You may use, adapt, and share these outputs for your own business purposes. You may not resell AI-generated reports as a standalone product or represent them as independently authored by a human expert.

6.4 Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free right to use that feedback for any purpose.

6.5 Third-Party Content: Competitor website content analysed by the Service remains the intellectual property of its respective owners. We do not claim any rights over third-party content processed through audit tools.

7.1 The Service uses artificial intelligence, including large language models provided by Anthropic, PBC (Claude AI), to generate audit findings, SEO recommendations, and content suggestions.

7.2 AI outputs are not professional advice. They should be treated as informational starting points. SEO results, rankings, traffic, and business outcomes depend on many factors outside our control and are not guaranteed.

7.3 AI-generated content may contain inaccuracies, errors, or outdated information. You are solely responsible for reviewing, verifying, and implementing any AI-generated recommendations before acting upon them.

7.4 We do not warrant that AI-generated content is free from bias, discrimination, or offensive material. If you encounter such content, please report it to support@pitech.com.np.

7.5 The generation and use of AI content is subject to Anthropic's Acceptable Use Policy, available at anthropic.com, in addition to these Terms.

8.1 The competitor analysis feature processes publicly accessible web pages using standard HTTP requests. This activity is lawful and consistent with the principles established in hiQ Labs, Inc. v. LinkedIn Corp. (9th Cir. 2022) and similar jurisprudence globally regarding access to publicly available information.

8.2 You are solely responsible for ensuring your use of competitor analysis features complies with:

• The Computer Fraud and Abuse Act (CFAA) — USA
• The Computer Misuse Act 1990 — UK
• EU Directive 2013/40/EU on attacks against information systems
• Nepal's Electronic Transactions Act 2063 (including provisions on unauthorised access)
• The target website's Terms of Service
• Any applicable robots.txt directives

8.3 We do not condone using the Service to extract trade secrets, violate database rights, or engage in scraping that constitutes unfair competition under applicable law.

8.4 A "Responsible Use" acknowledgement is displayed in the competitor analysis interface. By proceeding past that notice, you confirm your use is lawful.

9.1 The Content Optimizer add-on allows you to connect your CMS (WordPress, WooCommerce, Shopify, or custom REST API) by providing credentials.

9.2 All credentials are encrypted at rest using AES-256-GCM encryption. Credentials are never transmitted to or stored on third-party servers. They are decrypted transiently only to execute authorised operations you initiate.

9.3 You warrant that you have full authority and rights to connect any CMS or website. By connecting a site, you authorise us to read and write content to that site on your instructions.

9.4 We strongly recommend using Application Passwords or API keys with the minimum required permissions rather than primary account credentials.

9.5 In the event of a data breach affecting stored credentials, we will notify affected users within 72 hours in accordance with applicable data breach notification laws.

10.1 To the maximum extent permitted by applicable law, PiTech Studio and its directors, employees, agents, and partners shall not be liable for:

• Any indirect, incidental, consequential, special, punitive, or exemplary damages;
• Loss of profits, revenue, data, business, goodwill, or anticipated savings;
• Damages arising from your reliance on AI-generated recommendations;
• Changes in search engine rankings or traffic following your implementation of our suggestions;
• Unauthorised access to or alteration of your data by third parties;
• Interruption or cessation of the Service.

10.2 Our total aggregate liability to you for all claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) NPR 10,000 (or equivalent in your currency).

10.3 Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law. For Nepali consumers, the Consumer Protection Act 2075 may confer rights that cannot be excluded.

10.4 Force Majeure: We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, government action, natural disasters, internet infrastructure failures, or third-party service outages.

11.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS.

11.2 We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service or servers are free of viruses or harmful components; (d) audit results, scores, or AI recommendations will improve your website's search engine rankings.

11.3 SEO metrics, scores, and grades generated by the Service are based on our proprietary methodology and do not represent official assessments by Google, Bing, or any other search engine.

11.4 Third-party API data (Google PageSpeed Insights, Open PageRank, etc.) is subject to those services' availability and accuracy. We are not responsible for errors in third-party data.

12.1 By You: You may terminate your account at any time by contacting support@pitech.com.np. No refund is provided for the remaining subscription period except as required by law.

12.2 By Us: We reserve the right to suspend or terminate your account immediately, with or without notice, if:

• You breach these Terms;
• Your use causes harm to the Service, other users, or third parties;
• Payment for a paid subscription is declined or reversed;
• Required by law or court order.

12.3 Upon termination, your right to use the Service ceases immediately. We may retain your data for a period of 90 days in case of dispute or legal obligation, after which it will be deleted in accordance with our Privacy Policy.

12.4 We will endeavour to provide 30 days' notice before terminating service for reasons other than breach or non-payment.

You agree to indemnify, defend, and hold harmless PiTech Studio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) your use of competitor analysis features; or (e) any data you submit to the Service.

14.1 We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where commercially reasonable, we will provide advance notice of significant changes.

14.2 We may update these Terms periodically. Material changes will be notified via email and/or a prominent notice on the Service at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14.3 If you disagree with an update, your sole remedy is to terminate your account before the effective date.

15.1 Governing Law: These Terms are governed by the laws of Nepal, including but not limited to the Electronic Transactions Act 2063, the Contract Act 2056, and the Consumer Protection Act 2075, without regard to conflict-of-law principles.

15.2 International Users: If you are accessing the Service from outside Nepal, you acknowledge that your use may also be subject to local laws. You are responsible for compliance with applicable local laws.

15.3 Informal Resolution: Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting legal@pitech.com.np. We will endeavour to respond within 15 business days.

15.4 Formal Disputes: Disputes not resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Kathmandu District, Nepal.

15.5 EU/UK Users: If you are a consumer in the European Union or United Kingdom, nothing in these Terms affects your rights under mandatory consumer protection laws in your jurisdiction, including the right to bring claims before your local courts.

15.6 Nepali Consumer Rights: Nothing in these Terms shall be construed to waive your rights under Nepal's Consumer Protection Act 2075. Where these Terms conflict with mandatory Nepali consumer protection law, the latter shall prevail.

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, End User Licence Agreement, and Disclaimer, constitute the entire agreement between you and PiTech Studio regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remainder will continue in full force.

Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with 30 days' notice.

Language: These Terms are written in English. In case of conflict with any translation, the English version prevails.
